Terms of Service

Welcome to Corelto. These Terms of Service ("Terms") govern your access to and use of the CRM software, services, and platform (collectively, the "Service") provided by Corelto Next Gen Private Limited ("Corelto", "we", "us", or "our").

By accessing, registering for, or using our Service, you ("Client", "you", "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1 Our Identity

Corelto Next Gen Private Limited is an independent company. Our brand, technology, and operations are entirely our own and are not affiliated with, or a subsidiary of, any other provider in the proptech or CRM space.

2 Service Models and Fees

We offer the Service under two primary models, which will be specified in your Service Order, Invoice, or separate agreement

2.1. Subscription Model

  • ServiceYou pay a recurring fee (e.g., monthly, quarterly, or annually) for the right to access and use the Service for the paid subscription period.
  • BillingFees are billed in advance for the upcoming period.
  • CommitmentThere is no long-term commitment beyond the paid subscription period.

2.2. Buyout (Perpetual License) Model

  • ServiceYou pay a one-time license fee for a perpetual right to use the Service.
  • First YearThis one-time fee includes the Annual Maintenance Contract (AMC) for the first twelve (12) months from your Onboarding Date.
  • MandatoryAfter the first year, your continued use of the Service is contingent upon your timely payment of the mandatory Annual Maintenance Contract (AMC) fee each year.

3 Annual Maintenance Contract (AMC)

⚠️ This section applies only to the Buyout (Perpetual License) Model.

3.1. Scope of AMC

You expressly acknowledge and agree that the AMC fee strictly and solely covers the server and cloud infrastructure costs required to host your Client Data on our chosen cloud platform (e.g., Amazon Web Services).

3.2. AMC Revisions

Corelto reserves the right to revise the AMC rate for any subsequent renewal year. We will provide you with written notice of the new rate at least thirty (30) days prior to your renewal date.

3.3. Discontinuation

If you do not agree to the revised AMC rate, you may choose to discontinue the Service by providing written notice of non-renewal before the renewal date. Failure to pay the AMC fee by the due date will be considered a discontinuation and will result in the termination of your access to the Service.

4 Service Exclusions and Billable Services

⚠️ This section applies to both Subscription and Buyout models.

Unless explicitly included in a separate, written Statement of Work (SOW), all fees (whether Subscription or AMC) do not include:

Any technical support or troubleshooting
Data migration, import, or export assistance
Service customization
Any change requests, whether major or minor
User training and consultation

⚠️ All such services are billable services and will be charged separately at Corelto's then-current standard rates.

5 Refund Policy

Non-Refundable Policy

All fees and charges for the Service are strictly non-refundable after a period of fifteen (15) days from your "Onboarding Date" (the date the Service is first made available to you).

Your continued use of the Service beyond this 15-day period constitutes your full and irrevocable acceptance of this non-refundable policy and waives any right to a refund under any circumstance.

6 Data Hosting and Privacy

6.1. Client Data

You retain all ownership and intellectual property rights to all data, information, and content you upload to the Service ("Client Data").

6.2. Hosting Consent

You acknowledge and agree that the Service is a cloud-based solution. You explicitly consent to Corelto hosting your Client Data on servers and infrastructure managed by us or our third-party cloud hosting providers (such as Amazon Web Services). This arrangement is essential for the functionality of the Service.

6.3. Privacy

Our collection and use of information are governed by our Privacy Policy, which is incorporated by reference into these Terms.

7 Term and Termination

7.1. Termination (Subscription Model)

There is no long-term commitment beyond the paid period. Either party may disengage and terminate the Service by providing at least one (1) month's (thirty (30) days') written notice to the other party.

7.2. Termination (Buyout Model)

This Agreement is perpetual, provided you pay the mandatory AMC fee each year. If you fail to pay the AMC fee by the due date, this Agreement and your access to the Service will be terminated.

7.3. Termination for Cause

We may suspend or terminate your access to the Service immediately and without notice if you:

  • Fail to pay any fees due (Subscription, AMC, or Billable Services); or
  • Breach any material term of this Agreement.

7.4. Effect of Termination

Upon termination, your right to access and use the Service will cease. We will, upon your written request, provide a reasonable opportunity for you to export your Client Data, after which we will securely delete your Client Data in accordance with our data retention policies.

8 Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied. Corelto does not warrant that the Service will be uninterrupted, error-free, or completely secure.

9 Limitation of Liability

To the fullest extent permitted by law, in no event shall Corelto or its directors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts in Mumbai, Maharashtra, shall have exclusive jurisdiction to resolve any disputes arising from this Agreement.

11 Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the most current version on our website. By continuing to use the Service after the changes become effective, you agree to be bound by the revised Terms.
